Quick answer

What should a data room contain for a Tanzanian SME raising debt or equity?

A data room for a Tanzanian SME has seven folders: corporate, tax, financial, contracts, assets, employees and licences. Each document is listed with its issuer, date and expiry, from BRELA, TRA, an auditor, NSSF, WCF and OSHA. Readiness is scored on items held and still valid, not items held.

Data room checklist for a Tanzanian SME raising debt or equity: cover

A lender or investor that has agreed terms in principle sends a request list, and the company discovers that its documents sit with seven different issuers: the registry, the revenue authority, the auditor, the social security funds, the safety authority, its counterparties and its landlord. Several have an expiry date. A room opened before they are gathered gives the reader a reason to pause.

This note sets out a seven-folder structure, the authority that issues each document, and a readiness score that counts only what is held and still valid, as read from the authorities' pages on 17 October 2026.

How is a data room for a Tanzanian SME structured?

A data room is an indexed set of folders in which a company places the documents a funder verifies during due diligence. Seven folders cover a Tanzanian company: corporate, tax, financial, contracts, assets, employees and licences. Each folder lists its documents, the issuing body, the date and the expiry.

What do the corporate and tax folders hold?

BRELA's published fees list the filing of an annual return at TZS 22,000 and the registration of a charge over company property at TZS 22,000 to TZS 150,000, depending on the amount 1. A lender reads the charges first, since they show what is already pledged. Beneficial ownership is filed on Form 14b, and a change in shares or voting rights on Form 14f within 30 days of the change 2.

TRA states that a business applies for a Taxpayer Identification Number within fifteen days of commencing business, that a company may apply for a Tax Clearance Certificate through the IDRAS system after meeting its obligations, and that a declarant files returns for income tax, PAYE and the skills development levy 3. The room holds the certificate and the last twelve months of filings, with the date of each.

Which financial statements belong in the room?

The statements carry the framework the entity's size requires. NBAA's Technical Pronouncement No. 1 of 2018 assigns IFRS for SMEs to a commercial entity that is not a public interest entity with turnover of TZS 800 million or more and total assets of TZS 400 million or more, and the micro-entity standard where two of three tests are met: turnover of TZS 800 million or less, total assets of TZS 400 million or less, or an average of ten employees or fewer 4. The room adds management accounts to the audited statements, since the audit lags the year-end.

What do the employee, asset and licence folders hold?

An employer registers with NSSF on form NSSF/R.1, attached to the certificate of incorporation, the TIN certificate and the business licence 5. The contribution is 20 percent of gross salary, shared between employer and employee, remitted within one month of the month in which salaries are paid 6. The Workers Compensation Fund issues a registration certificate through the employer's online profile 7.

OSHA states that workplace owners or occupiers register their workplaces under section 16 of the Occupational Health and Safety Act, No. 5 of 2003 8, and that employers hold a certificate of compliance every year, linked to inspection, health testing of workers and first aid training 9. For a company, TRA lists a lease agreement or title deed among the TIN documents, so the premises are already evidenced 3.

What the NEMBO desk prepares

Zatra Consultants Limited authors and checks the content and the counts. NEMBO designs, produces and delivers the room index. Short documents, such as the index and the one-page checklist 10, are targeted at under 30 minutes from complete details. Standard documents take hours, and research documents are dated in the written quote.

  • Data room index with folder, document, issuer, date and expiry
  • Readiness score by folder, counting only valid items
  • Investor summary and teaser drawn from the same evidence

The desk prepares the room. It does not decide, and it does not guarantee, the decision of a lender, an investor or an authority.

Frequently asked questions

What is a data room?

An indexed set of folders in which a company places the documents a lender or investor verifies during due diligence. Each document is listed with its issuer, date and expiry, so the reader finds what it asks for and sees at once what is missing or out of date.

Which documents does BRELA issue or hold for a company?

The certificate of incorporation and the Memorandum and Articles, with the annual return, the beneficial ownership particulars on Form 14b and changes on Form 14f, and any charge registered over company property. BRELA publishes a fee for each filing.

Does a lender ask for a tax clearance certificate?

A lender's list decides. TRA states that a company may apply for a Tax Clearance Certificate through the IDRAS system after meeting its tax obligations. The room holds the certificate with its date, since an old certificate invites a request for a new one.

Which accounting framework should the statements follow?

The one NBAA assigns by size. IFRS for SMEs applies to a commercial entity with turnover of TZS 800 million or more and total assets of TZS 400 million or more, and the micro-entity standard where two of three size tests are met.

How much must an employer contribute to NSSF?

NSSF states 20 percent of the employee's gross salary as a joint contribution, with the employee share capped at 10 percent of monthly salary. Contributions are remitted within one month of the month in which salaries are paid.

Does a company need an OSHA certificate?

OSHA states that workplace owners or occupiers register under section 16 of the Occupational Health and Safety Act, 2003, and that employers hold a certificate of compliance every year. The room holds the registration and the current certificate with its date.

Why score a data room on valid items only?

An expired certificate answers the reader's question no better than a missing one. In the example, 31 of 40 items held gives 77.5 percent, but 28 valid items give 70 percent. The lower figure is the one the reader reaches on opening the room.
