First-time adoption in Tanzania: IFRS 1 steps and what TFRS 1 adds

First-time adoption is IFRS 1, not TFRS 1. The opening statement, exemptions and equity bridge a lender reads first, with one bridge computed.

Quick answer

What does first-time adoption of IFRS require in Tanzania, and where does TFRS 1 fit?

First-time adoption is governed by IFRS 1, not NBAA's TFRS 1. IFRS 1 requires an opening IFRS statement of financial position at the date of transition, one set of accounting policies, at least three statements of financial position, and reconciliations of equity and total comprehensive income [1][2]. TFRS 1, effective from 1 January 2021, governs the governance report [3].

First-time adoption in Tanzania: IFRS 1 steps and what TFRS 1 adds: cover

A company moves to IFRS and its equity changes with no change in trading. A lender holding the first set sees a different number from the last accounts and asks which of the movements is cash. Searchers often call this TFRS 1 first-time adoption, but the two are separate instruments, and mixing them delays the file.

First-time adoption is governed by IFRS 1. TFRS 1, the standard of the National Board of Accountants and Auditors (NBAA), governs the narrative report by those charged with governance. This note sets out what IFRS 1 requires, what the exemptions cover, how the equity reconciliation is built with exact figures, and what the lender reads first.

Which standard governs first-time adoption in Tanzania?

IFRS 1 governs. It requires an entity adopting IFRS Standards for the first time to prepare a complete set of financial statements 1. NBAA Technical Pronouncement No. 1 of 2018 decides which entities report on full IFRS, and it contains no first-time adoption or transition provisions 4. TFRS 1 is a different subject 3.

What are the date of transition and the opening statement?

The entity prepares and presents an opening IFRS statement of financial position at the date of transition 2. The first IFRS statements include at least three statements of financial position, with comparative information for all statements presented 2. A company with one comparative year, reporting for the year ending 31 December 2026, therefore has a date of transition of 1 January 2025.

  1. Recognise All assets and liabilities that IFRS requires, and none that IFRS does not permit 2.
  2. Adjust The differences go directly to retained earnings 2.
  3. One policy set The same accounting policies apply in the opening statement and throughout every period presented 2.
  4. Estimates Estimates at the date of transition are consistent with those made for the same date under previous GAAP, and later information is not reflected 2.

Which exemptions reduce the work?

IFRS 1 grants limited exemptions from restating prior periods where the cost of compliance would probably exceed the benefit to users 1. The exemptions the standard text cross-references include deemed cost for property, plant and equipment, investment property, intangible assets and right-of-use assets, investments in subsidiaries, joint ventures and associates, and the designation of financial assets and liabilities 2. Each is elective, and each is disclosed.

What reconciliations does the first set carry?

IFRS 1 requires reconciliations of equity under previous GAAP to equity under IFRS, and a reconciliation of total comprehensive income for the latest period 2. An entity that publishes an interim report under IAS 34 inside its first IFRS year also reconciles equity at the end of the comparable interim period 2. The bridge below shows why a lender asks for it.

What does a lender read first in the first IFRS set?

The lender reads the bridge, then asks which adjustments touch cash or covenants. In the example the deemed cost uplift of 310 raises equity and leaves cash unchanged, while the credit loss allowance and the lease reduce it. A covenant written on previous GAAP definitions needs a written answer from the lender on which basis applies from the first IFRS set.

TFRS 1 adds the narrative. The report discusses cash inflows and outflows in the year (paragraph 36), current and prospective liquidity (paragraph 37) and covenants in financing contracts (paragraph 37.3) 3. IFRS 18 replaces IAS 1 for annual periods beginning on or after 1 January 2027 5, so the statement format for a later first set is confirmed with the entity's accountant.

What the NEMBO desk prepares

Zatra Consultants Limited authors and checks the figures, and NEMBO designs and delivers. The Client shares the ledger or trial balance, the debt schedules and the entity type. The CFO pack returns with the reporting basis named on the cover, a verdict, ratios and an action list, a Lender and Board Brief, and an Excel working file with live formulas that trace each figure to the ledger 6. Fees are quoted in writing, and the written quote states the date for the scope agreed.

The accountant prepares and signs the IFRS 1 reconciliations. The pack is an illustrative management estimate, not an audit, an assurance report or a valuation, and it does not decide any lender's view.

Frequently asked questions

Is TFRS 1 the standard for first-time adoption of IFRS?

No. TFRS 1 is the NBAA standard on the report by those charged with governance, effective for periods beginning on or after 1 January 2021. First-time adoption of IFRS is governed by IFRS 1, issued by the IFRS Foundation, which requires an opening statement of financial position at the date of transition.

What is the date of transition for a first set covering the year to 31 December 2026?

With one comparative year, the date of transition is 1 January 2025. The first IFRS statements then show three statements of financial position: 1 January 2025, 31 December 2025 and 31 December 2026, with comparative information for all statements presented.

Where do first-time adjustments go?

The differences between previous GAAP and IFRS are recognised directly in retained earnings at the date of transition. The same accounting policies then apply in the opening statement and in every period presented, so the bridge in equity is explained once and carried forward.

Do the exemptions in IFRS 1 have to be used?

No. The exemptions are elective. They cover areas such as deemed cost for property, plant and equipment and the designation of financial instruments. An entity that elects one discloses it, and the accountant records the choice and the fair value used.

Does the first IFRS set change cash?

No. Adjustments such as deemed cost, credit loss allowances and leases change the recognised amounts of assets, liabilities and equity. Cash balances and cash flows are unchanged, which is why a lender reads the bridge beside the cash flow statement.

Does a micro entity use IFRS 1?

A micro entity that applies the micro-entity standard does not use full IFRS. Technical Pronouncement No. 1 of 2018 assigns that standard where two of three size tests are met. The accountant confirms the tier before any transition work starts.

Who prepares the reconciliations?

The entity's accountant prepares them, and the auditor reviews them where an audit applies. The NEMBO desk builds the CFO pack on the basis the accountant confirms and does not replace the accountant's signature or the auditor's opinion.
